1. Acceptance of Terms

Welcome to Gooddays App ("we," "us," "our," or the "Company"). These Terms of Service ("Terms") govern your access to and use of the Gooddays mobile application (the "App"), including any content, features, and services offered through the App.

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App. We recommend that you print or save a copy of these Terms for your records.

Gooddays is a personal wellbeing and self-improvement application designed to help you track your daily emotional state, measure your core human needs, set life objectives, and gain insights into your personal growth journey. The App provides:

• Daily Wellbeing Tracking: Record your daily score and measure six core human needs (Certainty, Variety, Connections, Significance, Growth, and Contribution).
• Life Vision & Objectives: Define your personal vision and set daily objectives aligned with your goals.
• Analytics & Insights: View charts, graphs, heatmaps, and statistical correlations based on your entries.
• Meditation Library: Access and organize personal meditation audio files.
• Journal Entries: Write daily thoughts and reflections.
• Premium AI Features: AI-powered insights, personalized recommendations, and generated meditations (subscription required).

To use the App, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction).
• If you are under 18 (or the age of majority in your jurisdiction), have parental or guardian consent to use the App.
• Have the legal capacity to enter into a binding agreement.
• Not be barred from using the App under applicable law.

By using the App, you represent and warrant that you meet these eligibility requirements. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

5. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a compatible mobile device that you own or control, solely for your personal, non-commercial purposes.

This license does not include the right to:

• Modify, adapt, translate, reverse engineer, decompile, or disassemble the App.
• Create derivative works based on the App.
• Copy, distribute, or publicly display the App or any part thereof.
• Remove, alter, or obscure any proprietary notices on the App.
• Use the App for any commercial purpose or for the benefit of any third party.
• Use any automated means to access or interact with the App.

6. User Content

The App allows you to create, store, and manage personal content, including daily entries, journal notes, life vision statements, objectives, and meditation files ("User Content").

The App offers premium features through subscription plans. By subscribing to premium services, you agree to the following:

The App includes AI-powered features such as the AI Companion, daily insights, correlation analysis, and generated meditations. By using these features, you acknowledge and agree:

• Not Professional Advice: AI-generated content is for informational and self-reflection purposes only. It is not a substitute for professional medical, psychological, therapeutic, or other professional advice. Always seek the advice of qualified professionals for any health or mental health concerns.
• Accuracy: While we strive to provide helpful and relevant insights, AI-generated content may not always be accurate, complete, or appropriate for your specific situation. Use your own judgment when interpreting AI suggestions.
• Third-Party Services: AI features are powered by third-party providers (such as Google Generative AI). These services are subject to their own terms and conditions.
• Availability: AI features may be modified, suspended, or discontinued at any time without notice. We are not liable for any interruption in AI services.

10. Intellectual Property

The App and all of its content, features, and functionality (including but not limited to the design, text, graphics, logos, icons, images, audio, software, and code) are owned by Gooddays or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

The Gooddays name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Gooddays or its affiliates. You may not use such marks without our prior written permission.

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will function uninterrupted, secure, or error-free.
• The results obtained from using the App will be accurate or reliable.
• Any errors or defects in the App will be corrected.
• The App will meet your specific requirements or expectations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Gooddays, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, use, goodwill, or other intangible losses.
• Damages resulting from your access to, use of, or inability to use the App.
• Damages resulting from any unauthorized access to or alteration of your data.
• Damages resulting from any third-party content or services accessed through the App.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE APP EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Gooddays, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the App.
• Your User Content.
• Your violation of any rights of a third party.
• Your violation of any applicable law or regulation.

You may stop using the App at any time by uninstalling it from your device. Upon uninstallation, all locally stored data will be permanently deleted unless you have previously exported it.

We reserve the right to suspend or terminate your access to the App, including any premium features, at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.

Upon termination, the provisions of these Terms that by their nature should survive (including ownership, disclaimers, indemnification, and limitations of liability) shall continue to apply.

16. Changes to These Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the App thereafter.

We will notify you of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, through in-app notifications. Your continued use of the App following the posting of revised Terms means you accept and agree to the changes.

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the jurisdiction in which Gooddays is registered, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration body in our jurisdiction.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the App, constitute the entire agreement between you and Gooddays regarding your use of the App and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
